Nexora's $725m PE sale starts with building a standalone finance team

DCC is selling Nexora to One Equity Partners for $725m. Leaving a listed parent for PE ownership means a standalone finance function and deal finance for a buy-and-build.

DCC has agreed to sell Nexora, its specialist technology distribution business, to private equity firm One Equity Partners at an enterprise value of $725m. Nexora brings together Hammer and Captech in Europe with Almo and JAM in North America, a group that turns over around £2.5bn and employs 2,000 staff, according to IT Channel Oxygen. The deal is expected to complete on or after 1 March 2027, subject to customary regulatory approvals, and chief executive Clive Fitzharris told CRN UK that M&A is firmly back on the agenda.

What it means for talent

A carve-out needs its own finance function

Inside a listed parent, a division typically relies on group functions for treasury, tax, consolidation, external audit and statutory reporting. Moving into standalone ownership tends to mean building those capabilities in the business, often while transitional service arrangements with the former parent wind down. That is a different job from running divisional finance. It usually calls for a CFO or finance director who has led a separation before, supported by financial controllers who can design a month-end close, accounting policies and a control framework rather than inherit them from head office.

Private equity ownership changes the reporting rhythm

Fitzharris was clear about what a dedicated owner brings: "The first benefit of this move and having a dedicated owner with One Equity is focus." He added: "We can prioritise our own capital, and our own initiatives with the support of a very strong investment partner." For a finance team, that focus usually shows up as monthly board packs, cash and covenant reporting against new debt facilities, and a value creation plan the investor tracks closely. FP&A professionals who can connect trading performance across several brands, currencies and markets to that plan tend to be in short supply, and in high demand once a deal completes.

Buy-and-build needs deal finance on tap

Nexora has said it will "maintain its strategy to acquire and accelerate specialist local trading brands", and Fitzharris told CRN UK that the business already has priority targets in mind, with scope for mid-size acquisitions in North America and further deals in Europe. Every acquisition brings due diligence, valuation work, completion accounts and the integration of ledgers, systems and reporting. Businesses running an active pipeline typically need corporate development finance and integration finance capacity in-house, rather than leaning entirely on external advisers for each transaction.

Commercial finance across very different markets

Nexora spans pro AV, pro audio, lighting, custom compute and infrastructure. Margin structures, vendor rebates, stock exposure and working capital needs vary considerably between those lines. Commercial finance business partners who understand distribution economics and vendor funding tend to add value quickly in a group like this, particularly when the investor wants to know which brands and categories are driving cash generation. Vendors selling through the group may notice the effect too, as tighter working capital discipline tends to shape credit terms, stock commitments and joint funding conversations.

What to do now

  • Map what the parent provided. Any distributor or vendor going through a separation should list every finance service the group delivered, from treasury and tax to payroll and audit, and decide which needs a permanent hire and which can be bridged with interim support.
  • Hire the CFO profile for the next owner. Experience of private equity reporting, lender relationships and at least one carve-out or exit tends to matter more than sector familiarity alone, although distribution knowledge shortens the learning curve.
  • Build deal capacity before the pipeline fills. If acquisitions are planned within months of completion, an M&A finance lead and an integration controller usually need to be in seat before the first target signs.
  • Protect the people who know the numbers. A change of ownership often unsettles finance staff who worked closely with group functions. Clear roles, reporting lines and incentives in the new structure help keep the knowledge the business will need through the transition.
